This website is operated by NerdyTags. Throughout the site, the terms "we," "us," and "our" refer to NerdyTags. NerdyTags offers this website, including all information, tools, and services available from this site to you, the user, conditioned upon your acceptance of all terms, conditions, policies, and notices stated here.

By visiting our site and/or purchasing something from us, you engage in our "Service" and agree to be bound by the following terms and conditions ("Terms of Service," "Terms"), including those additional terms and conditions and policies referenced herein and/or available by hyperlink. These Terms of Service apply to all users of the site, including without limitation users who are browsers, vendors, customers, merchants, and/or contributors of content.

Please read these Terms of Service carefully before accessing or using our website. By accessing or using any part of the site, you agree to be bound by these Terms of Service. If you do not agree to all the terms and conditions of this agreement, then you may not access the website or use any services. If these Terms of Service are considered an offer, acceptance is expressly limited to these Terms of Service.

Any new features or tools which are added to the current store shall also be subject to the Terms of Service. You can review the most current version of the Terms of Service at any time on this page. We reserve the right to update, change, or replace any part of these Terms of Service by posting updates and/or changes to our website. It is your responsibility to check this page periodically for changes. Your continued use of or access to the website following the posting of any changes constitutes acceptance of those changes.

Our store is hosted on Shopify Inc., which provides us with the online e-commerce platform that allows us to sell our products and services to you.

If you use NerdyTags for Business (the "business portal"), the additional terms in Business Accounts and Organizations also apply. If those terms conflict with the rest of these Terms, the business terms control for your use of the business portal.

SECTION 1 - ONLINE STORE TERMS

By agreeing to these Terms of Service, you represent that you are at least the age of majority in your state or province of residence or that you are the age of majority in your state or province of residence and you have given us your consent to allow any of your minor dependents to use this site.

You may not use our products for any illegal or unauthorized purpose, nor may you, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws).

You must not transmit any worms or viruses or any code of a destructive nature.

A breach or violation of any of the Terms will result in an immediate termination of your Services.

SECTION 2 - GENERAL CONDITIONS

We reserve the right to refuse service to anyone for any reason at any time.

You understand that your content (not including credit card information) may be transferred unencrypted and involve:

(a) transmissions over various networks; and
(b) changes to conform and adapt to technical requirements of connecting networks or devices.

Credit card information is always encrypted during transfer over networks.

You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service, use of the Service, or access to the Service or any contact on the website through which the service is provided, without express written permission by us.

The headings used in this agreement are included for convenience only and will not limit or otherwise affect these Terms.

SECTION 3 - ACCURACY, COMPLETENESS AND TIMELINESS OF INFORMATION

We are not responsible if information made available on this site is not accurate, complete, or current. The material on this site is provided for general information only and should not be relied upon as the sole basis for making decisions without consulting more accurate, complete, or timely sources.

This site may contain certain historical information, which is not current and is provided for your reference only. We reserve the right to modify the contents of this site at any time, but we have no obligation to update any information on our site. You agree that it is your responsibility to monitor changes to our site.

SECTION 4 - MODIFICATIONS TO THE SERVICE AND PRICES

Prices for our products and subscriptions are subject to change. If we change the price of a subscription you already have, the new price applies from your next billing period after we notify you.

We reserve the right at any time to modify or discontinue the Service, or any part or content of it, without notice. We shall not be liable to you or to any third party for any modification, price change, suspension, or discontinuance of the Service.

SECTION 5 - PRODUCTS AND SERVICES

Certain products, such as NFC tags and cards, may be available exclusively online through our store. These products may have limited quantities and are subject to the return and refund terms shown at the time of purchase.

We make every effort to display the colors and images of our products as accurately as possible. We cannot guarantee that your device's display of any color will be accurate. NFC compatibility depends on the device used to scan a tag, and we cannot guarantee that every device will read every product.

We reserve the right to limit the sales of our products or services to any person, geographic region, or jurisdiction, to limit quantities, and to discontinue any product at any time. We do not warrant that the quality of any products, services, information, or other material purchased or obtained by you will meet your expectations.

SECTION 6 - ACCURACY OF BILLING AND ACCOUNT INFORMATION

We reserve the right to refuse any order you place with us. We may limit or cancel quantities purchased per person, per household, or per order. If we change or cancel an order, we will attempt to notify you using the email address or billing address provided at the time the order was made.

You agree to provide current, complete, and accurate purchase and account information for all purchases and subscriptions, and to promptly update your account and other information, including your email address and payment details, so that we can complete your transactions and contact you as needed.

SECTION 7 - THIRD-PARTY TOOLS AND INTEGRATIONS

We may provide you with access to third-party tools and integrations, such as email marketing services, spreadsheets, and payment providers, over which we neither monitor nor have any control.

You acknowledge and agree that we provide access to such tools "as is" and "as available" without any warranties or conditions of any kind. Your use of third-party tools is entirely at your own risk and is governed by the terms of the relevant third-party provider.

SECTION 8 - THIRD-PARTY LINKS

Profiles and other content on NerdyTags may include links to third-party websites. We are not responsible for examining or evaluating the content or accuracy of those websites, and we do not warrant and will not have any liability for any third-party materials, websites, products, or services.

We are not liable for any harm or damages related to the purchase or use of goods, services, resources, content, or any other transactions made in connection with any third-party websites. Please review the third party's policies carefully before you engage in any transaction.

SECTION 9 - YOUR CONTENT

You keep ownership of the content you add to NerdyTags, including your profile information, links, images, and messages. You grant us a non-exclusive, worldwide, royalty-free license to host, store, display, and transmit that content only as needed to operate and provide the Service.

You are solely responsible for your content and confirm that you have the rights to publish it. Your content must not be unlawful, defamatory, abusive, obscene, or otherwise objectionable, must not infringe the rights of any third party, and must not contain malware or any code that could affect the operation of the Service.

We may, but have no obligation to, review, remove, or restrict content or links that we determine, in our sole discretion, violate these Terms or are harmful to our users or the public.

SECTION 10 - PERSONAL INFORMATION

Your submission of personal information through the Service is governed by our Privacy Policy.

SECTION 11 - ERRORS, INACCURACIES AND OMISSIONS

Occasionally there may be information on our site or in the Service that contains typographical errors, inaccuracies, or omissions relating to product descriptions, pricing, promotions, offers, shipping charges, transit times, and availability. We reserve the right to correct any errors, inaccuracies, or omissions, and to change or update information or cancel orders if any information is inaccurate at any time without prior notice, including after you have submitted your order.

SECTION 12 - PROHIBITED USES

In addition to the other prohibitions in these Terms, you are prohibited from using the site or its content:

  • for any unlawful purpose, or to solicit others to perform or participate in any unlawful acts;
  • to violate any international, federal, provincial, or state regulations, rules, laws, or local ordinances;
  • to infringe upon or violate our intellectual property rights or the intellectual property rights of others;
  • to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate against anyone;
  • to impersonate any person or organization, or to misrepresent your affiliation with any person or organization;
  • to submit false or misleading information;
  • to upload or transmit viruses or any other type of malicious code;
  • to send spam or unsolicited messages, or to phish, pharm, pretext, spider, crawl, or scrape;
  • to collect or track the personal information of others without their consent;
  • to sexualize, exploit, or endanger minors in any way;
  • for any obscene or immoral purpose; or
  • to interfere with or circumvent the security features of the Service or any related website.

We reserve the right to suspend or terminate your use of the Service for violating any of the prohibited uses.

SECTION 13 - DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY

We do not guarantee, represent, or warrant that your use of our Service will be uninterrupted, timely, secure, or error-free, or that the results obtained from the use of the Service will be accurate or reliable.

The Service and all products and services delivered to you through the Service are, except as expressly stated by us, provided "as is" and "as available" for your use, without any representation, warranties, or conditions of any kind, either express or implied, including all implied warranties of merchantability, fitness for a particular purpose, durability, title, and non-infringement.

In no case shall NerdyTags, our directors, officers, employees, affiliates, agents, contractors, suppliers, service providers, or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including lost profits, lost revenue, lost savings, or loss of data, arising from your use of the Service or any products obtained through it, even if advised of their possibility.

Because some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, in such jurisdictions our liability shall be limited to the maximum extent permitted by law.

SECTION 14 - INDEMNIFICATION

You agree to indemnify, defend, and hold harmless NerdyTags and our affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, and employees from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your breach of these Terms, your content, or your violation of any law or the rights of a third party.

SECTION 15 - SEVERABILITY

If any provision of these Terms is determined to be unlawful, void, or unenforceable, that provision shall be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed severed from these Terms. Such a determination shall not affect the validity and enforceability of any other remaining provisions.

SECTION 16 - TERMINATION

The obligations and liabilities of the parties incurred before the termination date shall survive the termination of this agreement for all purposes.

These Terms are effective unless and until terminated by either you or us. You may terminate these Terms at any time by deleting your account and ceasing to use the Service. If we determine that you have failed to comply with any term or provision of these Terms, we may terminate this agreement at any time without notice, and you will remain liable for all amounts due up to and including the date of termination.

SECTION 17 - ENTIRE AGREEMENT

These Terms, together with any policies or operating rules posted by us on this site or in respect to the Service, constitute the entire agreement between you and us and govern your use of the Service, superseding any prior or contemporaneous agreements, communications, and proposals, whether oral or written. Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

You can review the most current version of these Terms at any time on this page. We reserve the right to update, change, or replace any part of these Terms by posting updates to our website. It is your responsibility to check this page periodically. Your continued use of or access to the Service after any changes are posted constitutes acceptance of those changes.

BUSINESS ACCOUNTS AND ORGANIZATIONS

The business portal lets a company, team, or other entity (an "organization") create a workspace, invite team members, and manage NerdyTags profiles together. These terms apply to every organization and to everyone who uses the business portal.

Accepting on behalf of an organization

If you create an organization or accept these Terms on behalf of a company or other legal entity, you confirm that you have the authority to bind that entity to these Terms. In that case, "you" also refers to that entity.

Owners, roles, and team members

  • Each organization has one owner, who has full control of the organization, including billing and deleting it. The owner can transfer ownership to another active member.
  • The organization decides who to invite, which roles and groups they belong to, and which profiles they can access. The organization is responsible for all activity by its members and for removing access when someone should no longer have it.
  • Each member uses their own NerdyTags account. Members must not share login credentials, and each member remains bound by these Terms.

Seats, billing, and trials

  • Business plans are billed per seat, monthly or yearly, through our payment processor, Stripe. Active members and pending invitations each use a seat, and the number of profiles an organization can manage depends on its seat count.
  • Some features, such as removing NerdyTags branding and the AI writing assistant, are only available to organizations with a minimum number of seats. If the seat count drops below that minimum, those features turn off.
  • Subscriptions renew automatically until cancelled. If a payment fails or the subscription ends, the organization becomes read-only: its team can view and export its data, delete or unlink its profiles, and manage billing, but cannot make other changes until the subscription is renewed.
  • We may offer free trials through promotional links. A trial lasts for the period shown when it is redeemed, is limited to one per organization, and makes the organization read-only when it ends unless a paid subscription is started.
  • The payment and refund terms described in our Privacy Policy under Payments and Subscriptions also apply to business subscriptions.

Organization-owned and managed profiles

  • Organization-owned profiles are created in the business portal and belong to the organization, not to the individual members who edit them. The organization may edit, transfer to another NerdyTags user, or delete them.
  • Managed profiles remain owned by the NerdyTags user who links them with a join code. The organization only gets the permissions the owner approves, and the owner can unlink the profile at any time. Organizations must only request to manage profiles they are authorized to manage, and must not use join codes to mislead profile owners.

Your organization's data and leads

  • The organization owns the content it publishes and the data it collects through its profiles, including email subscribers, form submissions, and messages. You grant us permission to host, process, and display that data only as needed to provide the service.
  • You are responsible for collecting and using that data lawfully, including getting any consent required to send marketing emails or messages, honoring unsubscribe requests, and responding to requests from people to access or delete their information.
  • You must not use the business portal to send spam, to collect data you are not allowed to collect, or to store sensitive information such as payment card numbers, government ID numbers, passwords, or health information in profiles, forms, or messages.

Single sign-on and domains

  • You may only verify email domains and connect custom domains that your organization owns or is authorized to use.
  • If you set up single sign-on, you are responsible for your identity provider's configuration and for the people it allows to sign in. If automatic account creation is turned on, anyone your identity provider authenticates with a verified company email can join your organization with the default role you choose.
  • Custom domains and removing NerdyTags branding must not be used to impersonate another person or company or to mislead visitors about who operates a page.

AI writing assistant

The AI writing assistant creates suggestions using a third-party AI provider. Suggestions can be inaccurate, incomplete, or inappropriate, so a person must review every suggestion before publishing or sending it. You are responsible for any suggestion you choose to use. Each organization has a monthly suggestion limit based on its seat count, and administrators can turn the assistant off at any time.

Integrations and webhooks

When you connect a third-party service, such as Mailchimp, Google Sheets, HighLevel, Asana, HubSpot, Pipedrive, Klaviyo, Slack, Microsoft Teams, Discord, Zapier, Make, or n8n, you instruct us to send it your organization's data. Your use of that service is governed by its own terms and privacy policy, and we are not responsible for how it handles your data or for its availability. You are responsible for the webhook addresses you enter and for keeping webhook signing secrets safe. We may pause a webhook or integration that repeatedly fails.

Suspension, termination, and deletion

  • We may suspend or terminate an organization, its profiles, or individual members that violate these Terms. The rest of these Terms, including the child safety standards described in our Privacy Policy, apply to all content in the business portal.
  • The owner can delete the organization at any time after deleting or transferring its organization-owned profiles. Deleting an organization cancels its subscription, returns managed profiles to their owners, and permanently deletes the organization's workspace data, as described in our Privacy Policy. Deletion cannot be undone, so export anything you want to keep first.
  • A user who owns an organization must transfer ownership or delete the organization before deleting their personal NerdyTags account.
